ScopeFence Terms of Service
Last updated: August 1, 2026
These Terms of Service ("Terms") are a legal agreement between you ("you," "your," or "User") and ScopeFence ("ScopeFence," "we," "us," or "our") governing your access to and use of the ScopeFence website, application, and related services (collectively, the "Service"). By creating an account, checking the "I agree" box at signup, or otherwise using the Service, you accept these Terms in full. If you do not agree, do not use the Service.
ScopeFence is currently operated by an individual founder and has not yet completed formal business entity registration. References to "ScopeFence," "we," "us," and "our" in these Terms refer to the operator of the Service, whether acting as an individual or, upon formation, through a registered business entity that will assume these obligations.
1. Eligibility
You must be at least 18 years old and capable of forming a binding contract to use the Service. The Service is not directed at, and must not be used by, anyone under 18. If we learn an account belongs to someone under 18, we may suspend or terminate it immediately.
2. What the Service Is — and Is Not
ScopeFence is a software tool that helps freelancers and agencies document project scope, receive and price client change requests, and track approvals. Specifically:
- ScopeFence is not a payment processor, escrow service, or money transmitter. We do not collect, hold, transfer, or guarantee any payment between you and your clients. All payment for change requests happens directly between you and your client, entirely outside the Service, through whatever method you and your client agree to.
- The "Mark as Paid" status is a self-reported record only. It reflects what you tell the Service, not a verified or confirmed transaction. ScopeFence has no way to confirm, and makes no representation, that any payment was actually made or received.
- AI-generated content (including the AI Scope Writer, AI Pricing Copilot, and Diplomacy Rewrite features) is provided as a drafting aid and suggestion only. These features use third-party AI models and may produce inaccurate, incomplete, unsuitable, or incorrect output, including incorrect prices, incomplete scope terms, or inappropriate phrasing. You are solely responsible for reviewing, editing, and approving any AI-generated content before relying on it, sending it to a client, or using it as the basis of any agreement, price, or business decision. ScopeFence is not responsible for any loss, dispute, underpricing, overpricing, or client disagreement resulting from AI-generated content you chose to use.
- ScopeFence does not review, verify, or take responsibility for the accuracy of any scope document, change request, price, or client communication you create or send through the Service. You are solely responsible for the content and accuracy of everything you enter, generate, or send using the Service, and for your relationship, contracts, and disputes with your own clients.
- Nothing in the Service constitutes legal, financial, tax, or professional advice. You should consult your own qualified professionals for guidance specific to your business.
3. Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate information at signup and keep it current. Notify us immediately at admin@scopefence.com if you suspect unauthorized access to your account.
4. Subscription Plans, Billing, and Cancellation
- The Service is offered on a Free plan and one or more paid subscription plans, as described on our pricing page, which may change from time to time.
- Paid subscriptions are billed through our third-party billing provider (currently Polar) on a recurring basis (monthly or annual, as selected) until cancelled.
- You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period; we do not provide partial-period refunds except where required by applicable law.
- We may change our pricing or plan features at any time. Material changes will be communicated in advance where practicable; continued use of a paid plan after a price change constitutes acceptance of the new price at your next renewal.
- Usage limits (projects, change requests, AI calls, seats, and similar limits) for each plan are as described on our pricing page and are enforced automatically. We are not liable for any consequence of you or your team reaching a usage limit.
5. Your Content and Data
- You retain ownership of all content you submit to the Service, including project scopes, change request text, and client information you enter ("Your Content").
- You grant ScopeFence a limited, non-exclusive license to host, store, process, transmit, and display Your Content solely as necessary to operate and provide the Service to you, including sending Your Content to third-party service providers (such as our AI provider) as described in our Privacy Policy.
- You are solely responsible for having a lawful basis to collect and enter any personal information about your own clients (such as client names and email addresses) into the Service, and for your own compliance with any privacy or data protection laws that apply to your business and your relationship with your clients. ScopeFence acts only as a service provider processing that data on your behalf and makes no representation that your use of the Service satisfies any legal obligation you may have toward your clients.
- You represent that you have the right to submit Your Content and that it does not infringe any third party's rights or violate any law.
6. Prohibited Use
You agree not to: use the Service for any unlawful purpose; attempt to gain unauthorized access to the Service or other accounts; interfere with or disrupt the Service's operation; use the Service to transmit malicious code; scrape, reverse-engineer, or resell the Service without our written permission; use the Service to facilitate fraud, harassment, or any activity that violates the rights of others; or create multiple free accounts to circumvent usage limits or plan restrictions. We may suspend or terminate any account engaged in prohibited use, with or without notice.
7. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. We do not warrant that the Service will be uninterrupted, error-free, secure, or that any defect will be corrected. We do not warrant the accuracy, completeness, or reliability of any AI-generated content, pricing suggestion, or any output of the Service. We do not warrant that any client will approve, pay, or honor any change request, price, or agreement facilitated through the Service.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: (A) SCOPEFENCE AND ITS OPERATOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND (B) SCOPEFENCE'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (I) THE TOTAL AMOUNT YOU PAID TO SCOPEFENCE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (II) ONE HUNDRED U.S. DOLLARS ($100).
This limitation applies regardless of the legal theory on which a claim is based (contract, tort, negligence, strict liability, or otherwise) and applies even if any limited remedy fails of its essential purpose. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you to the extent prohibited by law.
9. Indemnification
You agree to indemnify, defend, and hold harmless ScopeFence, its operator, and any future affiliated entity from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; (d) your violation of any law or the rights of a third party, including any client or other party you interact with using the Service; or (e) any dispute between you and your client, including disputes about pricing, scope, or payment.
10. Third-Party Services
The Service relies on and integrates with third-party service providers, including but not limited to Supabase (database and authentication), Polar (subscription billing), an AI language model provider (currently DeepSeek), Resend (email delivery), Vercel (hosting), and Cloudflare (DNS/CDN). We are not responsible for the availability, performance, or acts or omissions of these third-party providers, and your use of the Service is also subject to their respective terms where applicable.
11. Termination
We may suspend or terminate your access to the Service at any time, with or without cause or notice, including for violation of these Terms. You may stop using the Service and delete your account at any time. Sections of these Terms that by their nature should survive termination (including Sections 7, 8, 9, and 13) will survive.
12. Changes to These Terms
We may modify these Terms at any time. Material changes will be posted on this page with an updated "Last updated" date, and where practicable we will provide notice via email or in-app notification. Continued use of the Service after a change takes effect constitutes acceptance of the revised Terms.
13. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, USA, and applicable United States federal law, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts. Nothing in this section prevents either party from seeking injunctive relief in any court of competent jurisdiction where necessary to prevent irreparable harm.
14. General
Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.
No Waiver. Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.
Assignment. You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets, including upon formation of a business entity to operate the Service.
Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and ScopeFence regarding the Service and supersede any prior agreements.
Contact. Questions about these Terms can be sent to admin@scopefence.com.
